Nothing needs to be defined. All they have to do is have a rule that you can submit for an OSCAR or an EMMY, but you can't submit to both. It would be up to the producer to choose who to submit to.

The DOJ involvement seems completely ridiculous and I bet a decent judge would throw it out. The Academy already has rules as to what constitutes an eligible film. It's completely reasonable that eligibility for a film means it has to play in a theatre exclusively for a given period because inherently, that's what a movie is.
